These Terms of Service ("Terms") govern your access to and use of the websites, software, and products offered by XortiCom LLC ("XortiCom," "we," "us," or "our"), including the desktop applications XortiCom BLUE (with BLUE MACHINE), SonicRocket, and SlideFusion, and our free utilities (collectively, the "Products"). By downloading, installing, purchasing, or using any Product or this website, you agree to these Terms. If you do not agree, do not use the Products.
Our Products are downloadable software that you install and run on your own computers and, where applicable, your own web hosting. The Products are licensed, not sold. Each paid Product is also governed by the End User License Agreement (EULA) presented during installation or first run; if there is a conflict between these Terms and a Product's EULA regarding that Product, the EULA controls for license-specific matters.
Subject to your payment of applicable fees and compliance with these Terms and the relevant EULA, XortiCom grants you a limited, non-exclusive, non-transferable license to install and use the Product you purchased. License scope (for example, per-user, per-machine, or per-site) is described at the point of sale and in the EULA. Free utilities are provided at no charge for personal and commercial use, subject to these Terms. You may not resell, sublicense, rent, reverse-engineer (except as permitted by law), or remove proprietary notices from the Products.
Purchases are processed by our authorized reseller and Merchant of Record, Paddle.com (Paddle.com Market Limited and its affiliates). When you buy a paid Product, Paddle handles the transaction, billing, and collection of applicable taxes, and your purchase is also subject to Paddle's buyer terms. Prices are shown in the applicable currency at checkout and may change at any time, but changes do not affect orders already placed.
Refunds are handled in accordance with our Refund Policy and, where Paddle is the Merchant of Record, Paddle's refund procedures. Please review the Refund Policy before purchasing.
You agree not to use the Products to violate any law; to infringe the intellectual property or privacy rights of others; to upload, process, or distribute unlawful content; or to attempt to gain unauthorized access to any system. You are responsible for the content you create, process, host, or distribute using the Products, including any training materials, audio, rosters, or learner data.
Several Products run locally and/or on infrastructure you control. For example, BLUE MACHINE stores rosters and training results on a web server that you own and operate; XortiCom does not host or receive that data. You are solely responsible for the security, lawful use, backup, and retention of any data you store on your own systems, and for obtaining any consents required from your learners or end users.
The Products, this website, and all related software, designs, text, and trademarks (including "XortiCom," "BLUE," "BLUE MACHINE," "SonicRocket," and "SlideFusion") are owned by XortiCom or its licensors and are protected by intellectual property laws. Except for the limited license granted above, no rights are transferred to you.
The Products may interoperate with third-party services (for example, Microsoft PowerPoint and Outlook, or Google Slides). XortiCom is not affiliated with or endorsed by those companies, and your use of those services is governed by their own terms. Product names and logos are the property of their respective owners.
The Products and website are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Products will be uninterrupted, error-free, or compatible with every system or third-party service.
To the maximum extent permitted by law, XortiCom and its owners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising out of or related to your use of the Products. Our total liability for any claim relating to a Product will not exceed the amount you paid for that Product in the twelve (12) months preceding the claim.
We may suspend or terminate your license if you materially breach these Terms or a EULA. Upon termination you must stop using and delete the affected Product. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive termination.
These Terms are governed by the laws of the State of Oklahoma, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Oklahoma County, Oklahoma, and you consent to their jurisdiction.
We may update these Terms from time to time. The "Last updated" date above reflects the most recent change. Material changes take effect when posted; your continued use of the Products after that constitutes acceptance.
